Welcome to Duroub Integrated Logistics Company (“Duroub”)! The stipulated hereunder are the standard terms governing Your use of www.duroub.com, outlining Your rights and obligations. You must read these terms carefully as by accessing the website You agree to be legally bound by all the Terms and conditions included under this document with immediate effect.

1. INTERPRITATION & DEFINITIONS

The language used in this document will be deemed to be the language chosen by Duroub to express their intent, and no rule of strict construction will be applied against it. The following words shall have the meanings herein assigned to them except where the subject or context required otherwise:

The Terms and conditions included in these Terms of Use shall provide legal protection for both Parties from any liabilities that might arise. These Terms of Use apply to all users visiting the Site for any purpose.

  1. The User is responsible for safeguarding its personal information including usernames, uploaded documents, data, and passwords.

  2. The User agrees to provide accurate and current information at all times, failure to do so constitutes a breach of the Terms of Use, and subject to which may result in immediate termination of Your account on Our Site.

  3. The User agrees not to disclose their account password to any third party, an immediate notification shall be served to Duroub upon becoming aware of any breach of security or unauthorized use of Your account.

  4. Its restricted to use any usernames that might contain offensive or unlawful meanings, trademarks, names subject to rights to other person or entity without appropriate authorization.


4. RESTRICTED CONTENT

  1. User shall at all times be responsible for the content uploaded to the Site, Duroub shall not under any event be responsible for any content for any unlawful, misleading, inappropriate content uploaded by You. The User acknowledges its full responsibility for the content and all activities under Your account, whether done so by You or any third person using Your account.

  2. Restricted content means any unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable content. Examples of such content include, but not limited to, the following:

    • Unlawful or promoting unlawful activity;

    • Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups;

    • Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;

    • Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person;

    • Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights;

    • Impersonating any person or entity including the Company and its employees or representatives;

    • Violating the privacy of any third person; or

    • False information and features.

  3. You acknowledge that under no event Duroub shall be liable in any way for any restricted content including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of Your use of any content, Duroub at its sole discretion reserve the right to reformat, edits, or change any restricted content in Your account.


5. USER UNDERTAKINGS:

The User hereby warrants, represents and undertakes the following:

  • The User is above the age of 18, eligible to use the Site and agrees to comply with the content of these Terms of Use.

  • Shall fully comply and will at all times while using the Site fully comply with all applicable laws, statutes and regulations, including, without limitation, all privacy laws and content regulation;

  • Duroub shall not be responsible for any use of the Site outside the territory of the Kingdom of Saudi Arabia. Any use of the Site outside the territory of the Kingdom of Saudi Arabia shall be under Your risk and responsibility.

  • The User shall at all times be responsible for installing a proper anti-virus software before downloading any files from the Site, Duroub shall not under any event be responsible for any damages or loss resulting from Your non-compliance to this sub-clause.

  • You agree to indemnify and hold Us, Our parent company, subsidiaries and affiliates and Our and their directors, officers, agents, employee, suppliers, subcontractors or licensors harmless from and against any losses, damages and expenses (including legal fees and attorney’s fees) arising out of or relating to:

  • Any claims or demands made by any third party due to or arising out of Your use of the Site;

  • Your violation of any of provisions of this Terms of Use, including, without limitation, any of the warranties, representations and undertakings; or

  • Your violation of any applicable laws.

6. LIMITATION OF LIABILITIES

To the extent permitted by law, Duroub, its officers, employees, agents, affiliates, and suppliers shall not be liable for the following:

  • any loss or damage whatsoever whether direct, indirect, incidental, special, consequential, or exemplary, including but not limited to, losses or damages for loss of profits, goodwill, business, opportunity, or other intangible losses arising out of or in connection with Your use of the Site (however arising, including negligence or otherwise and whether or not Duroub has been advised of the possibility of such losses or damages);

  • Your use of or Your inability to use the Site;

  • Any action/event which is beyond Our reasonable control; or

  • Your non-compliance with the Terms of Use.

The aggregate maximum liability of Duroub arising out of a breach of this Terms of Use or any act of negligence and/or omission or willful misconduct arising, or any kind of damages or penalties hereunder shall not in any circumstances exceed (USD 50) “fifty United State Dollars” for the total claims arising from these Terms of Use.


7. THIRD PARTY CONTENT

Any links to web pages or services provided by a third party that You may view while visiting the Site is out of Duroub’s control, therefore, We shall have no responsibility for Third Party Content including, without limitation, material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable in Your jurisdiction. If the User wishes to visit, interact, or deal in any manner with such third parties such acts are solely between You and the third parties. Duroub will not responsible or liable for any loss or damage of any sort incurred as a result of any such dealings.


8. TRADEMARK, IP & COPYRIGHT

Any trademarks, design, drawings, development, copyright, advertising, marketing or any other intellectual property material presented on Site are owned solely by Duroub (the “IP Content”). All content of the Site - excluding User content- shall remain the exclusive property of Duroub, and it’s protected by copyright, trademark, and other local and international laws. User shall not have the right use any IP Content without the prior written consent of Duroub.


9. DISPUTE

If any dispute, claim, controversy or difference (including in relation to any tortuous or statutory claim) ("Dispute") arises out of or in connection with or in relation to this Terms of Use, including (without limitation) any question regarding the formation, existence, scope, performance, interpretation, validity or termination of this Terms of Use or this clause, or any question regarding the legal relationships established by this Terms of Use or the consequences of its nullity, Please contact Us through Our official emails at customercare@duroub.com or by reaching out to Our call center +966 12 6555 789 to settle the Dispute amicably through good-faith negotiations over a period of (45) forty five calendar days commencing on the date that a party first sends to the other party a written notice of the Dispute. If the Dispute is not resolved within the said period, the issue shall be referred to and finally resolved by Jeddah competent courts.


10. WAIVER, SEVERABILITY, and AMENDMENTS

  1. Any waiver by Us of any of the provisions of these Terms of Use will not constitute a waiver of any other provision (whether similar or not), nor will any such waiver constitute a continuing waiver of that particular provision, unless expressly provided by Us in writing.

  2. All provisions that either expressly or by their nature survive, will survive suspension or termination of Your membership of the Site.

  3. No person who is not a party to these Terms of Use shall have any right to enforce any term of this Terms of Use. If these Terms of Use are translated into any language, whether on the Site or otherwise, the Arabic text shall prevail.

  4. These Terms of Uses cannot be modified, varied, amended or supplemented in any way by You, We reserve the right to modify, vary, amend or supplement these Terms of Uses at any time and from time to time.
